The short version

LiveCaptions is provided as-is. It relies on on-device speech recognition, which is not perfect. You are responsible for ensuring it meets your needs before using it in any live or production environment.

Acceptance of terms

By downloading, installing, or using LiveCaptions ("the App"), you agree to these Terms & Conditions. If you do not agree, do not use the App.

Licence

NeonTanuki Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to use the App for personal and professional purposes, subject to these terms and the Apple Licensed Application End User Licence Agreement (EULA).

Description of service

LiveCaptions provides real-time on-device speech-to-text transcription using Apple's speech recognition frameworks. The App outputs captions as an NDI video source for use in live production workflows.

Accuracy and reliability

Speech recognition is performed entirely on-device using Apple's frameworks. Transcription accuracy depends on factors outside our control, including but not limited to:

• Audio quality and microphone placement
• Background noise and room acoustics
• Speaker accent, pace, and clarity
• Language and dialect
• Device hardware and system load

We do not guarantee that transcription will be accurate, complete, uninterrupted, or error-free.

Limitation of liability

To the maximum extent permitted by applicable law, NeonTanuki Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of revenue or business opportunity
• Reputational damage
• Costs arising from inaccurate, delayed, or missing captions
• Disruption to live events, broadcasts, or productions
• Any claim by a third party

This limitation applies whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, even if NeonTanuki Ltd has been advised of the possibility of such damages. In no event shall NeonTanuki Ltd's total liability exceed the amount you paid for the App.

Assumption of risk

You acknowledge that the App is a tool to assist with captioning and is not a substitute for professional captioning, stenography, or accessibility services. If accurate captions are critical to your event or broadcast, you are responsible for having appropriate fallback measures in place. Use of the App in live or production environments is entirely at your own risk.

Indemnification

You agree to indemnify and hold harmless NeonTanuki Ltd from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, including claims made by third parties related to events, broadcasts, or productions in which the App was used.

Intellectual property

The App, including its design, code, and documentation, is the property of NeonTanuki Ltd. All rights not expressly granted are reserved.

Third-party technologies

The App uses Apple's speech recognition frameworks and NDI technology. These are subject to their respective owners' terms and conditions. NeonTanuki Ltd is not responsible for the availability, accuracy, or performance of third-party technologies.

App Store

The App is distributed exclusively via the Mac App Store. Apple is not a party to these terms. Apple has no obligation to provide maintenance or support. See Apple's Licensed Application EULA for additional terms.

Modifications

We may update these terms at any time. Continued use of the App after changes constitutes acceptance. We will update the "last updated" date on this page.

Termination

We may terminate your licence to use the App if you breach these terms. Upon termination, you must stop using and delete all copies of the App.

Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Children's privacy

LiveCaptions does not knowingly collect data from anyone, including children under 18.
